EULA Exact Officient Application Integration Connector

This End User Licence Agreement (“Agreement” or “EULA”) is a legal agreement between you (“User” or “Licensee”) and Crystalloids B.V. (“Company,” “we,” “us,” or “our”) for the use of the software connector Exact Officient (the “Connector”). By installing, accessing, or using the Connector, you agree to be bound by the terms of this Agreement. If you do not agree, do not install, access, or use the Connector.

1. Definitions

Connector: The custom software solution named Exact Officient , provided by Crystalloids, including any updates, documentation, or associated materials.
GCP Marketplace: The online marketplace operated by Google Cloud Platform where the Connector is made available.
Customer Data: Any data, content, or information provided by you or your end users through the use of the Connector.

2. Licence Grant

Crystalloids grants you a non-exclusive, non-transferable, revocable licence to access and use Exact Officient solely for your internal business purposes, subject to this Agreement and any applicable subscription or purchase terms agreed through the GCP Marketplace. This licence is limited to the scope of use specified in your subscription or order.

3. Restrictions

You shall not, and shall not permit any third party to:

Copy, modify, or create derivative works of the Connector;
Reverse engineer, decompile, disassemble, or attempt to extract its source code, except as permitted by law;
Sell, sublicense, lease, rent, or distribute the Connector;
Use the Connector to violate any laws or third-party rights;
Remove or alter any copyright, trademark, or proprietary notices.

4. Ownership

The Connector and all intellectual property rights therein remain the sole property of Crystalloids or its licensors. This Agreement grants you no ownership rights, only the limited licence described herein.

5. Customer Data

You retain all rights to Customer Data processed or stored using the Connector.
Crystalloids may access and use Customer Data only to provide, maintain, or improve the Connector, or as required by law.
You are responsible for ensuring your use of Customer Data complies with all applicable laws, including privacy and data protection regulations.

6. Fees and Payment

Fees for Crystalloids are governed by the terms of your purchase or subscription through the GCP Marketplace. All payments are processed in accordance with Google Cloud’s billing policies, and you agree to comply with those terms.

7. Term and Termination

This Agreement is effective from the date you first access or use the Connector and continues until terminated.
Crystalloids may terminate this Agreement immediately if you breach any of its terms.
Upon termination, you must cease all use of the Connector and destroy any copies in your possession.
Sections 4, 5, 8, 9, 10, and 11 shall survive termination.

8. Disclaimer of Warranties

The Connector is provided “as is” and “as available,” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. Crystalloids does not guarantee that the Connector will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, Crystalloids shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to this Agreement or use of the Connector. Crystalloids’ total liability shall not exceed the amounts paid by you for the Connector in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold Crystalloids harmless from any claims, damages, or losses arising from your use of the Connector, including any violation of this Agreement or applicable laws.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of The European Union and The Netherlands, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of The Netherlands.

12. Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between you and Crystalloids regarding Exact Officient and supersedes prior agreements.
Amendments: Crystalloids may update this Agreement from time to time. Continued use of the Connector after such updates constitutes acceptance of the revised terms.
Assignment: You may not assign this Agreement without Crystalloids’ written consent.
Severability: If any provision is found invalid, the remaining provisions remain in full force and effect.
